The Management Board and Supervisory Board declare herewith that since its last declaration of 3 December 2007, Carl Zeiss Meditec AG has conformed to all the recommendations of the Government Commission on the German Corporate Governance Code in its version dated 6 June 2008 and in its version dated 14 June 2007, as published by the German Federal Ministry of Justice in the official section of the electronic Federal Gazette (Bundesanzeiger).
